END USER LICENSE AGREEMENT (EULA) FOR RED ASSIST

Effective Date: October 07, 2024

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or an entity) and StanPlus Technologies Pvt Ltd. ("Company," "we," "us," or "our") governing your use of the RED Assist application ("Application"). By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download or use the Application.

1. LICENSE GRANT

The Company grants you a non-exclusive, non-transferable, revocable license to install and use the Application solely for your personal or business use, in accordance with the terms of this Agreement.

2. RESTRICTIONS

You agree not to:

  • Copy, modify, or distribute the Application, except as expressly permitted in this Agreement.
  • Reverse engineer, decompile, or disassemble the Application, or attempt to derive the source code of the Application.
  • Rent, lease, or lend the Application.
  • Use the Application in a manner that violates any applicable laws or regulations.

3.  LOCATION-BASED SERVICES DISCLAIMER

The RED Assist Application uses location-based APIs to provide emergency services, including dispatching assistance to your location. By using this Application, you acknowledge and agree to the following:

  • Accuracy: The location data provided by the Application is as accurate as the GPS and network signals allow, but it may not always be completely reliable. The Company does not guarantee the precise accuracy of location data.
  • Responsibility: You are responsible for ensuring that the Application has access to your device's location services when requesting emergency assistance. Failure to provide accurate location data may affect the quality and timeliness of the services offered.
  • Third-Party Services: The Company may use third-party services to provide emergency assistance. The availability, performance, and functionality of these services are beyond the Company’s control. The Company is not responsible for the actions or inactions of any third-party emergency service provider.
  • Assumption of Risk: By using the location-based services, you assume all risks associated with inaccurate, delayed, or otherwise faulty dispatching of emergency services. The Company shall not be held liable for any harm, damages, or losses arising from such incidents.

4. OWNERSHIP

The Application is licensed, not sold. The Company retains all rights, title, and interest in and to the Application, including all intellectual property rights. This Agreement does not convey any ownership rights to you.

5. UPDATES

The Company may provide updates, upgrades, or patches to the Application to enhance or fix bugs. These updates may be automatically applied unless you disable automatic updates on your device. All updates are governed by this Agreement unless separate terms accompany the update.

6.  PRIVACY POLICY

Your use of the Application is also governed by the Company’s Privacy Policy, which can be found at https://www.red.health/privacy-policy By using the Application, you consent to the collection, use, and sharing of information as described in the Privacy Policy.

7. DISCLAIMER OF WARRANTIES

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT GUARANTEE THAT THE APPLICATION WILL BE ERROR-FREE OR UNINTERRUPTED.

8. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE APPLICATION, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. TERMINATION

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of the terms. Upon termination, you must cease all use of the Application and uninstall it from your device.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Indian Government, without regard to its conflict of law provisions.
